Welcome to Estudio Macuare (“we,” “our,” “us”). By accessing or using our website (estudiomacuare.com) and our 3D animation, VFX, and rendering services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.
1. Services & Statements of Work (SOW)
Estudio Macuare provides premium 3D animation, visual effects, and CGI services for B2B clients. All specific project details, including deliverables, timelines, revisions, and costs, will be outlined in a separate Statement of Work (SOW) or formal contract signed by both parties before the commencement of any project. In the event of a conflict between these Terms and a specific SOW, the terms of the SOW shall prevail.
2. Intellectual Property & Deliverables
a. Final Deliverables: Upon full and final payment of all invoices related to a project, the client is granted full ownership and commercial usage rights of the final deliverables (the rendered videos, final high-resolution images, etc.) as outlined in the SOW. b. Working Files: Unless explicitly agreed upon in writing and subject to an additional buyout fee, Estudio Macuare retains all ownership, rights, and title to the native working files, 3D models, project files (e.g., .blend, .c4d, .ma), scripts, and proprietary tools used to create the final deliverables. c. Pre-existing Assets: Any proprietary materials or assets belonging to Estudio Macuare prior to the project remain our sole property.
3. Portfolio & Marketing Rights
We take pride in our work. Unless a strict Non-Disclosure Agreement (NDA) has been signed preventing us from doing so, Estudio Macuare reserves the right to display the final deliverables, concept art, and “behind-the-scenes” breakdowns in our portfolio, website, showreels, and social media channels for marketing purposes after the client has officially launched the product or campaign.
4. Confidentiality & NDAs
We understand that B2B clients often work with unreleased products, patents, and sensitive technology. We are fully committed to protecting your intellectual property. We routinely sign and adhere to client-provided NDAs prior to reviewing project briefs or reference materials. All confidential information provided by the client will be used solely for the purpose of executing the project.
5. Revisions and Approvals
To ensure technical precision and premium quality, our projects follow a structured approval process (e.g., Storyboard, Animatic, Styleframes, Final Render). The number of included revisions will be defined in your specific SOW. Revisions requested outside the agreed-upon scope, or changes requested after a previous stage has been officially approved, will be subject to additional billing at our standard hourly or daily rate.
6. Payment Terms
Payments are generally divided into milestones (e.g., 50% upfront deposit to secure placement in our production pipeline, and 50% upon final delivery). Work will not commence until the initial deposit is received. All deposits are non-refundable to cover initial pre-production labor and scheduling block-outs. Final deliverables without watermarks will only be handed over upon receipt of the final payment.
7. Client Responsibilities
The successful and timely completion of any project requires active collaboration. The client agrees to provide clear briefs, accurate CAD models/references, and timely feedback during the approval stages. Delays in client feedback may result in corresponding delays in the final delivery date.
8. Limitation of Liability
Estudio Macuare strives for visual excellence, but we shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from the use of our services or deliverables. Our total liability in any matter related to a specific project is strictly limited to the total amount paid by the client for that specific project.
9. Governing Law
These Terms of Service shall be governed by and construed in accordance with standard international business law practices. Any disputes shall be resolved through good-faith negotiations.
